MasterPrompt.ie — Standard Terms & Conditions

Provider: MasterPrompt.ie ("we", "us", "our")

Client: The purchasing business entity ("you", "your")

1️⃣ Service Description

We provide customised Master Prompts, designed using information you provide about your business, to support productivity and communication. A Master Prompt is delivered as a digital text-based product and training/guidance material.

Optional annual subscription services ("Pro" / "Executive") include periodic updates or additional document creation services.

2️⃣ Delivery & Acceptance

Delivery will occur via secure digital transfer. The Master Prompt is deemed accepted once delivered, unless you notify us of a material issue within 7 days of receipt.

3️⃣ Intellectual Property

Upon full payment, you receive a non-exclusive, perpetual licence to use the Master Prompt within your own business.

You may not:

• Sell, sublicense, or distribute the Master Prompt

• Share it outside your own organisation

• Publish or make it publicly available

Unless explicitly permitted via our reseller/franchise agreement.

4️⃣ Franchise / Reseller Rights

Where you are authorised as a reseller:

• Pricing to your own clients is at your discretion

• The Master Prompt must always be delivered by MasterPrompt.ie or under approved fulfilment

• A reseller agreement must be signed prior to resale activity

Without this agreement, resale is prohibited.

5️⃣ Data Protection & Confidentiality

We process only the business-level data you choose to provide. All data shared is treated as confidential. Where applicable, personal data will be processed in accordance with GDPR and only for the purpose of service delivery.

You are responsible for ensuring no highly sensitive or regulated personal data (e.g., medical/legal case details) is shared without prior written agreement.

6️⃣ Client Responsibilities

You remain solely responsible for:

• Accuracy of any data or content you provide

• Human review of all AI-generated outputs

• Ensuring compliance with legal, regulatory, and industry requirements

Our products assist — they do not replace — professional judgement.

7️⃣ Annual Subscription Services (Pro & Executive)

Annual services include:

• Prompt updates or document creation specific to the package purchased

• Support and guidance for usage

You may cancel anytime. Cancellation stops future renewals but does not refund past payments.

Updates cease at the end of the paid subscription period.

Pricing for renewals may be reviewed annually with 30 days' notice.

8️⃣ Fees & Payment

All fees are quoted excluding VAT unless stated otherwise.

Payment is due upon order unless otherwise agreed.

Late payments may result in suspension of services.

9️⃣ Limitations of Liability

We are not liable for:

• Financial loss resulting from reliance on AI outputs

• Errors or inaccuracies in generated content

• Downtime or changes in third-party AI systems

• Consequential or indirect loss of any kind

Maximum total liability shall not exceed the amount paid by you in the previous 12 months.

🔟 Third-Party AI Tools

You understand and acknowledge that the Master Prompt relies on external AI platforms. We are not responsible for any changes to their pricing, performance, or availability.

11️⃣ Termination

We may terminate services where:

• Payments are not made

• Terms are breached

Any licence granted terminates if you continue to use or distribute the Master Prompt following termination.

12️⃣ Governing Law

These terms are governed by the laws of Ireland, and any disputes will be handled in the Irish courts.

13️⃣ Changes to Terms

We may update these terms occasionally. Changes will be communicated via email or website notice.
