Terms and Conditions

Effective Date: 1 September 2025

These Terms and Conditions govern the supply of products and services by Master Prompt Ltd (“Master Prompt”, “we”, “us”, “our”) to the purchasing individual or business (“Client”, “you”, “your”).

By purchasing any product or service from Master Prompt Ltd, you agree to these Terms and Conditions

1. Services

Master Prompt Ltd provides bespoke AI implementation services, including but not limited to:

* Custom Master Prompt creation

* AI implementation and consultancy

* Bespoke prompt engineering

* Website development and website modernisation

* AI documentation and workflow creation

* Prompt Shield™ implementation

* Subscription based support and maintenance services

Each Master Prompt is individually created using information supplied by the Client and is designed to improve productivity, communication and operational efficiency when using supported AI platforms.

2. Delivery

Products are delivered digitally via secure electronic transfer.

Unless otherwise agreed, delivery is deemed complete once the Master Prompt or agreed documentation has been provided to the Client.

The Client must notify Master Prompt Ltd of any material defect within 7 days of delivery.

Failure to do so constitutes acceptance of the completed work.

3. Licence

Upon receipt of full payment, Master Prompt Ltd grants the Client a non exclusive, non transferable, perpetual licence to use the Master Prompt within their own organisation.

The Client may use the Master Prompt across multiple AI platforms for internal business purposes.

Ownership of the underlying intellectual property remains with Master Prompt Ltd unless otherwise agreed in writing.

4. Restrictions

Unless expressly authorised in writing, the Client shall not:

* Sell the Master Prompt.

* Resell the Master Prompt.

* Copy the Master Prompt for commercial use.

* Distribute the Master Prompt to third parties.

* Publish the Master Prompt publicly.

* Reverse engineer or recreate Master Prompt methodologies.

* Remove any copyright or ownership notices.

5. Reseller and Franchise Rights

Only authorised Master Prompt partners may resell our products.

Authorised partners must:

* Hold a current signed Reseller or Franchise Agreement.

* Follow Master Prompt quality standards.

* Ensure fulfilment is completed or approved by Master Prompt Ltd.

Pricing to end clients remains at the reseller’s discretion unless otherwise agreed.

Unauthorised resale is strictly prohibited.

6. Client Information

The quality of a Master Prompt depends upon the accuracy and completeness of the information supplied by the Client.

The Client confirms that all information supplied is accurate and that they have authority to disclose such information.

Master Prompt Ltd accepts no responsibility for inaccuracies resulting from incomplete or incorrect information supplied by the Client.

7. Confidentiality

We treat all information supplied by Clients as commercially confidential.

Information will only be used for the purpose of delivering the agreed services.

Master Prompt Ltd will not disclose confidential business information to third parties except where required by law.

8. Data Protection

Where personal data is processed, Master Prompt Ltd shall comply with the General Data Protection Regulation (GDPR) and all applicable Irish data protection legislation.

Clients should avoid submitting highly sensitive personal information unless specifically requested and agreed in writing.

9. AI Outputs

Artificial Intelligence is an assistive technology.

The Client acknowledges that:

* AI generated content may contain inaccuracies.

* All outputs should be reviewed by a competent person.

* Master Prompt Ltd does not provide legal, financial, medical or professional advice.

* Final responsibility for all business decisions remains with the Client.

10. Third Party AI Platforms

Master Prompt products operate alongside third party AI services including but not limited to:

* ChatGPT

* Claude

* Google Gemini

* Microsoft Copilot

Master Prompt Ltd is not responsible for:

* Service interruptions.

* Platform outages.

* Changes to AI models.

* Pricing changes.

* Feature removals.

* Third party security incidents.

11. Subscription Services

Where a Client purchases an annual subscription (including Pro or Executive packages), the subscription may include:

* Prompt improvements

* Business document creation

* AI optimisation

* Prompt Shield updates

* Technical support

* Strategy consultations

Subscriptions automatically expire at the end of the paid term unless renewed.

Clients may cancel renewal at any time before the next billing date.

Fees already paid are non refundable except where required by law.

Master Prompt Ltd reserves the right to amend subscription pricing upon providing at least 30 days’ notice before renewal.

12. Website Development

Where website services are provided:

* Clients remain responsible for all website content.

* Clients warrant that they own all supplied materials.

* Master Prompt Ltd is not responsible for third party hosting failures.

* Ongoing maintenance is only included where expressly agreed.

13. Fees

Unless stated otherwise:

* All prices exclude VAT.

* Payment is due upon order.

* Ownership remains with Master Prompt Ltd until payment has been received in full.

* Late payments may result in suspension of services.

14. Refund Policy

Due to the bespoke nature of our products, completed Master Prompts and custom digital work are non refundable once delivered.

Nothing in these Terms affects any statutory rights available under Irish consumer law where applicable.

15. Limitation of Liability

To the fullest extent permitted by law, Master Prompt Ltd shall not be liable for:

* Loss of profits

* Loss of business

* Loss of revenue

* Loss of data

* Loss of goodwill

* Indirect or consequential loss

* Decisions made using AI generated outputs

Master Prompt Ltd’s total liability shall never exceed the total amount paid by the Client during the previous twelve months.

16. Termination

Master Prompt Ltd may suspend or terminate services immediately where:

* Payment remains outstanding.

* These Terms are breached.

* Our intellectual property is misused.

* Fraudulent or unlawful activity is suspected.

Termination does not remove the Client’s obligation to pay outstanding fees.

17. Governing Law

These Terms are governed exclusively by the laws of Ireland.

Any dispute shall be subject to the exclusive jurisdiction of the Irish courts.

18. Changes to these Terms

Master Prompt Ltd reserves the right to amend these Terms from time to time.

The latest version will always be published on our website.

Continued use of our products or services constitutes acceptance of the updated Terms.

Prompt Shield™

Prompt Shield™ is Master Prompt Ltd’s proprietary language protection framework.

It is designed to enhance privacy by structuring and tokenising business information for use within supported AI workflows, helping organisations reduce

unnecessary exposure of commercially sensitive information during AI interactions.

Prompt Shield™ is intended to support secure AI usage but does not replace appropriate cybersecurity measures, access controls, encryption, or legal compliance obligations.
